The worldwide leading manufacturer of high performance sensor and analog solutions ams AG agreed to acquire 100% of the shares in Heptagon Advanced Micro-Optics Pte.
The transaction combines an upfront consideration in cash and partially newly issued shares with a value of $570m with a substantial deferred earn-out consideration of up to $287m. Following the upfront share transaction, current Heptagon shareholders which include financial investors, management, and other employees are expected to hold around 20% in ams AG.
